Hi,
Which software is good for recording voice over sounds (a human reading a text). Is 44100kb sample rate good for the quality?
Any general suggestions for making voice over mp3 files for using in flash?

Generally, yes, 44.1 KHz / 16 bit uncompressed WAV or AIFF formats are fine for making the original recording. You want to make that original recording at a high quality level, and only reduce quality at the very end of the process when you're done editing and ready to export out to mp3s.
The software you use depends a bit on what operating system you use. On the Windows platform, my current favorite audio editing software package is Adobe Audition. It's an excellent stereo editor, a capable multi-track editor, and it has support for Acid-like (or GarageBand-like) loop editing as well. Another good audio editor is Sony's SoundForge, but it is 2-channel only, and doesn't include the excellent digital noise reduction features that come with Adobe Audition.
For mp3 encoding, on a PC, I recommend downloading a copy of RazerLame. It's a very flexible mp3 encoder, and also produces better-sounding results than the encoder built into Flash. Also note that you'll want to stick to encoding mp3s at sample rates that are multiples of 11.025 KHz (e.g., 11.025 KHz, 22.05 KHz, or 44.1 KHz) for best playback in Flash.
Also, use a good microphone. Something like the Sure SM-58 is a classic, and is very reasonably priced (online price is usually around $100). If you're on a budget, decent results can be had from the $30 radio shack clip-on mic (radio shack part number 33-3013).
